Work summary

The company is a holding company belonging to a group that specializes in all areas of agriculture (agriculture, processing and export) and the oil and gas industry. We are looking for a highly qualified and experienced legal specialist with extensive experience in compliance, business consulting, contract law, real estate, tax, intellectual property, labor and corporate governance.

The successful candidate will be responsible for ensuring compliance of all Cardinal Torch business operations and business processes with applicable laws and regulations, providing strategic legal advice and business support to Cardinal Torch business operations and initiatives, drafting and reviewing contracts, and overseeing corporate governance matters. Previous experience in banking, finance or commodities is a plus.

In the performance of his/her duties, the successful candidate will work with the General Counsel, Legal Director (Dispute Resolution) under the supervision of the Company Secretary and General Counsel and will report to the General Manager.

Professional responsibility

Legal

  • Liaising with all Cardinal Torch subsidiaries, service providers, outside legal counsel and government agencies.
  • Maintenance and review of legal agreements.
  • Developing and overseeing Cardinal Torch’s compliance with applicable laws and regulatory requirements.
  • Negotiation, preparation and implementation of contract provisions in all contracts and business arrangements.
  • Responsible for providing legal support in the area of ​​customer complaint control in order to reduce the risk of litigation
  • Review all documentation that has legal implications for the company prior to execution and implementation.
  • Ensure that all contracts and obligations are presented to the Company Secretary for review and approval.

Compatibility

  • Reviewing all applicable laws and regulations applicable to Cardinal Torch Company and ensuring compliance.
  • Ensure that business activities are conducted in accordance with all applicable laws, regulations, internal policies and procedures.
  • Ensure all regulatory approvals remain current and relevant to business needs.
  • Continuously assess the risk of non-compliance with company practices, including developing internal policies and procedures, compliance training and protocols.
  • Serving as liaison with all regulatory authorities and maintaining relationships with relevant legal entities and trade associations.
  • Stay up to date with regulatory changes and industry initiatives and advise management accordingly.
  • Engage with third parties, including corporate management, who seek to understand the company’s control environment, compliance policies and procedures.
  • Reporting on regulatory requirements and changes
  • Develop compliance checklists and prepare compliance reports when necessary
  • Inform the internal audit function of any findings of non-compliance that may require investigation
  • Ensuring compliance with best practices
  • Any other duties assigned by the Unit Manager

Executive assistant to the CEO

Duties:

Reporting directly to the President and CEO, the Executive Assistant provides executive support in a one-on-one working relationship. The Executive Assistant serves as the primary point of contact for internal and external constituencies on all matters concerning the Office of the Chief Executive Officer. The Executive Assistant also serves as a liaison to the Board and senior management teams; organizes and coordinates executive relations and external relations activities; and oversees special projects. The Executive Assistant must be creative and enjoy working in a small, entrepreneurial environment that is mission, results, and community driven. The ideal individual will have the ability to exercise good judgment in a variety of situations, with strong written and oral communication, administrative, and organizational skills, and the ability to maintain a realistic balance among multiple priorities. The Executive Assistant will have the ability to work independently on projects from concept to completion, and must be able to work under pressure at times to handle a wide range of activities and sensitive matters with discretion.

Roles and responsibilities

Management support

  • Performs a wide range of administrative duties for the President and CEO, including managing an extremely active meeting calendar; completing expense reports; drafting and preparing correspondence that is sometimes confidential in nature; organizing complex and detailed travel plans, itineraries, and programs; and completing paperwork for travel-related meetings.
  • Plans, coordinates and ensures that the CEO’s schedule is followed and respected. Provides a “gatekeeper” and “gateway” role, creating win-win situations for direct access to the CEO’s time and office.
  • Communicates directly and on behalf of the President and Chief Executive Officer with Board members, donors, Foundation staff, and others on matters related to the Chief Executive Officer’s program initiatives.
  • Investigates, prioritizes, and tracks incoming issues and concerns brought to the attention of the President, including those of a sensitive or confidential nature. Determines appropriate course of action, referral, or response.
  • Provides a bridge for smooth communication between the Office of the President and internal departments; demonstrating leadership to maintain credibility, trust and support from senior management.
  • Works closely and effectively with the Chief Executive Officer to keep him well informed of upcoming commitments and responsibilities and follows up as appropriate. It serves as a “barometer” that has a sense of what is happening in the environment and keeps the President informed on an ongoing basis.
  • Provides leadership in building relationships critical to the success of the organization and manages a variety of special projects for the President, some of which may have an organizational impact.
  • Successfully completes key aspects of assignments with a hands-on approach, including preparing confirmation letters, personal correspondence, and other tasks that assist the CEO in effectively managing the business.
  • Prioritizes conflicting needs, handles issues efficiently and proactively, and brings projects to successful completion, often under tight deadlines.

Management Support and Liaison

  • Serves as the CEO’s administrative liaison to Cardinal Torch’s board of directors
  • As needed, assists board members with travel, accommodation and meal planning arrangements
  • Maintains discretion and confidentiality in relations with all members of the board
  • Comply with applicable rules and regulations set forth in the bylaws governing the Board and Board Committees, including the advance distribution of materials prior to meetings in electronic/paper formats. Senior Management Liaison
  • Participates as a supporting member of the management team, including assisting with meeting planning and attending all meetings
  • Assists in coordinating the schedule of senior management and off-site meetings, as well as all staff meetings
  • Facilitates interdepartmental coordination of travel plans and outreach activities. Communication, partnerships and outreach
  • Provides updates on the President’s biography and responds to requests for materials regarding the President and the organization in general
  • Drafts and finalizes first drafts of written communications for external stakeholders Strategic Initiatives
  • Collaborates with the Strategic Initiatives team to coordinate the President’s outreach efforts. Tracks contacts established by the President and supports the cultivation of current relationships.
  • Edits everything and creates confirmation letters from the President to donors
  • Provide confidential administrative support, including report creation and maintenance, project support, research assignments, preparation of business travel and seminar arrangements, and meeting planning, agenda development, expense reconciliation, and minutes taking.
  • Assistance in the presentation and preparation of reports for Management Board and Management Committee meetings.
  • Assist in the development of corporate communications/correspondence and be responsible for the timely distribution of communications (internal and external, as required).
  • Organize and provide oversight of corporate initiatives and events as required.
  • Developing and nurturing collaborative relationships with peers, leadership team members and external partners.
  • Developing effective processes to ensure efficient information transfer.
  • Support management communications with customers as needed.
  • Plan drinks, lunches, dinners, etc. for meetings as requested.
  • Other duties and projects that may be required.

Requirements and skills:

  • Higher education in law or related field.
  • 2-4 years of experience in Compliance or similar position.
  • Bachelor’s degree/certification in professional compliance will be preferred.
  • Knowledge of all applicable regulations in the country of operation and local regulations.
  • Clear, effective communication skills with the ability to communicate internally and externally (legal, regulatory, auditors) at all levels.
  • Excellent oral and written communication skills.
  • Good organizational and analytical skills.
  • Knowledge of Microsoft Office.
  • A customer focused individual and an outstanding problem solver.
  • Attention to detail to achieve accuracy.
  • Good time management skills.
