UnitedHealth leaders sued by investor over antitrust firewall

UnitedHealth Group Inc. directors are being sued by a shareholder who claims investors were misled about the health insurer’s moves to spin off business units following its acquisition of Change Healthcare Inc.

The derivative lawsuit follows reports that the Justice Department has opened an antitrust investigation into the relationships between UnitedHealth’s business segments. The proposed class action lawsuit was filed by investors in May.

The new lawsuit, filed Monday in the U.S. District Court for the District of Minnesota, says the alleged misconduct by the directors will cost the company significant amounts of money, requiring it to conduct internal investigations and defend itself against a proposed class action lawsuit.
