Synopsys sells Optical Solutions Group to Keysight Technologies

Synopsys announced a definitive agreement to sell its Optical Solutions Group (OSG) to Keysight Technologies, a leading provider of design, emulation and test solutions.

The transaction is subject to customary closing conditions, including regulatory review and the closing of the proposed acquisition of Ansys by Synopsys, which is pending regulatory approvals and is expected to close in the first half of 2025. The sale of OSG has been considered a necessary step toward obtaining regulatory approvals and successfully completing the proposed acquisition of Ansys by Synopsys.

OSG provides design tools and services to model all aspects of light propagation to simulate and visualize optical products with high accuracy. This includes products such as CODE V for imaging system design, LightTools lighting design software, LucidShape for automotive lighting design, RSoft Photonic Device Tools and the recently announced ImSym – a groundbreaking virtual prototyping platform for imaging systems. These tools provide intelligent, easy-to-use solutions and an expert support team anchored by optical engineers to help customers deliver better optics to market faster.

Keysight is pleased to expand its simulation software portfolio with the acquisition of Synopsys’ Optical Solutions Group. This acquisition will enable high-performance systems to be used in applications beyond electronics, including optics and photonics. Keysight looks forward to welcoming the company’s employees upon closing and working with them to solve customers’ critical design challenges requiring multiphysics simulation to predict product performance.

This transaction is not financially material to Synopsys, and the terms of the agreement were not disclosed. Synopsys is committed to a smooth transition for the OSG team, customers and partners. Until the transaction closes, OSG will continue to operate as usual as part of Synopsys, with a focus on execution, customer service and continuous innovation.
